Puppy Purchase Agreement

This Puppy Purchase Agreement (“Agreement”) is made between Puppy City Holdings Inc., the breeder/seller, and the purchaser (“Customer”) for the purchase of the puppy identified by the Parties. The Customer may also purchase add-ons or products for the puppy.

The puppy is sold as-is, and except as expressly set forth in this Agreement or in Puppy City Holdings Inc.’s Health Warranty (incorporated herein by reference), Puppy City Holdings Inc. makes no representations, warranties, covenants, agreements, or guarantees, including but not limited to those relating to disposition, conformation, size, weight, color, or markings of the puppy.

The following terms and conditions apply to your purchase of the puppy from Puppy City Holdings Inc.:

NOTICE

THIS AGREEMENT INCLUDES A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY.

 

1. Puppy Value

For all purposes of this Agreement and Puppy City Holdings Inc.’s Health Warranty, the value of the puppy is limited to its purchase price. This value excludes applied store credit, taxes, shipping costs, health certificate fees, veterinary costs, or any other associated expenses incurred by the Customer.

 

2. Code of Conduct

All puppies are sold as pets. Customer agrees to care for the puppy humanely and responsibly, including providing clean and adequate shelter, food, water, and veterinary care. Customer agrees that the puppy will reside indoors, will not roam freely, and will wear identification and license tags at all times.

 

Puppy City Holdings Inc.’s Code of Conduct includes the following commitments:

 

Provide lifelong care for the dog.

 

Choose a breed suited to your home and lifestyle and familiarize yourself with breed-specific health considerations.

 

Recognize the time and financial commitments required for responsible dog ownership.

 

Purchase essential supplies (food, treats, collar, leash, grooming tools, etc.) in advance.

 

Assign family responsibilities for the dog’s care (feeding, exercise, grooming, etc.).

 

Puppy-proof the home and protect the puppy from hazards.

Ensure a secure yard or use a leash outdoors at all times.

 

Safely transport the dog using a crate or harness.

 

Provide a designated rest area for the puppy.

 

Socialize and train the dog appropriately.

 

Prevent the dog from creating nuisances and comply with all local laws.

 

Provide adequate exercise and mental stimulation.

 

Establish and maintain a veterinarian relationship and follow recommended preventative care.

 

Keep identification tags and microchip information updated.

 

Spay/neuter your dog responsibly unless otherwise agreed.

 

Prepare an emergency plan involving your dog.

 

Provide appropriate end-of-life care when necessary.

 

3. Registration Paperwork

 

Registration papers will be provided for registered puppies. If not delivered at the time of sale, they will be sent by mail or email within 120 days. Puppy City Holdings Inc. is not responsible for replacing lost registration papers.

Puppy City Holdings Inc. makes commercially reasonable efforts to provide accurate and up-to-date information regarding breed, gender, color, date of birth, weight, parent weights, and registration details.

 

4. Travel

 

Puppies typically travel within 1–2 weeks of the Agreement date, depending on age and readiness. Final travel decisions are made by the breeder and the breeder’s veterinarian based on the puppy’s health.

Transportation is generally arranged through Puppy City Holdings Inc. and may involve third parties. Delays may occur due to weather, temperature restrictions, logistics, mechanical issues, or other unforeseen events. Puppy City Holdings Inc. is not liable for any delays or associated costs, nor are such delays grounds for cancellation or refund.

Customer is solely responsible for any required documents, vaccinations, or health reports necessary for international travel.

 

5. Cancellation by Customer

 

Customer may cancel before receiving travel confirmation. If Customer cancels, the following administrative fee schedule applies and is agreed to be a fair estimate of damages:

6. No Warranties

 

Puppy City Holdings Inc. disclaims all implied warranties, including merchantability and fitness for a particular purpose. Puppy City Holdings Inc. does not guarantee appearance, temperament, size, color, breed-standard conformity, or DNA results.

 

Although each puppy undergoes a Nose-to-Tail exam for its Health Certificate, many common conditions still permit travel and may be considered normal for breed or covered under warranty if present at arrival. Examples include (but are not limited to):

 

Bite issues 

Coccidia 

Giardia 

Fleas, ticks, ear mites, ear debris/discharge 

Hookworms, whipworms, tapeworms 

Hernias (including repairs) 

Undescended testicles 

Open fontanel (under 1 cm) 

Spay/neuter status 

Tail docking, dewclaw removal 

Stenotic nares 

Conditions that are “normal for breed” 

 

For more serious concerns discovered pre-travel, Puppy City Holdings Inc. will make reasonable efforts to contact Customer.

 

7. No Monetary Refunds / No Returns

 

Puppy City Holdings Inc. does not accept returns or issue refunds for reasons including allergies, landlord restrictions, marital issues, or behavior/adjustment challenges. Puppies need time to adjust; customers are encouraged to contact Puppy City Holdings Inc. for support before deciding the puppy is not a good fit.

 

8. Understanding the Breed

 

Each breed has unique physical and temperament characteristics. Customers are encouraged to thoroughly research the breed. The American Kennel Club directory is recommended: https://www.akc.org/dog-breeds/.

Puppy City Holdings Inc. does not warrant health issues or surrenders for breed groups where certain conditions are considered Normal for Breed, including but not limited to:

 

Brachycephalic Breeds

 

(Examples: French Bulldog, Pug, Bulldog, Boxer, Boston Terrier, Shih Tzu, Pekingese, Cane Corso, and mixes thereof.)

These breeds may have travel restrictions and are not suited for heavy outdoor activity in heat.

 

Breeds Prone to Underbites

 

(Examples: Boxer, Shih Tzu, Bulldog, Pekingese, Pug, Boston Terrier, etc.)

 

Breeds Prone to Open Fontanelle

 

(Examples: Chihuahua, Maltese, Pomeranian, Yorkie, Dachshund, Shih Tzu, Lhasa Apso, etc.)

 
Breeds Prone to Heterochromia

 

(Examples: Husky, Australian Shepherd, Corgi, Great Dane, Border Collie, Catahoula Leopard Dog, Dalmatian, etc.)

These characteristics are not considered defects.

 

9. Privacy Policy

 

Puppy City Holdings Inc.’s Privacy Policy governs Customer’s use of the website and services. Please review the Privacy Policy to understand how information is collected, used, and shared.

 

10. Mandatory Individual Arbitration & Class Action WaiverPLEASE READ — THIS SECTION AFFECTS LEGAL RIGHTS

 

Customer and Puppy City Holdings Inc. agree that any dispute, controversy, or claim arising out of this Agreement or the relationship between the Parties shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.

 

There is no judge or jury, and court review is limited.

 
Key Terms:

 

This arbitration agreement is broad and includes disputes arising before or after this Agreement. 

 

The Federal Arbitration Act governs enforceability. 

 

Arbitration must be conducted individually; class actions and class arbitrations are waived. 

 

Each party is responsible for its own legal costs. 

 

Either party may pursue claims in Small Claims Court. 

 

Failure to comply with the arbitration requirement makes the breaching party responsible for the other party’s legal fees to enforce compliance. 

 

Any action to enforce or confirm an arbitration award may be brought in a court of competent jurisdiction. If the arbitration clause is ever deemed unenforceable, litigation (other than small-claims actions) must be filed in the appropriate state or federal court, and Customer consents to jurisdiction there.
